1. Scope
These Terms of Use ("Terms") govern the use of the Reva software ("the Software"), an AI-powered release management assistant for Microsoft Teams, provided by X-idra Systems GmbH ("Provider", "we", "us"). By deploying or using the Software, you ("Customer", "you") agree to these Terms.
2. License & Deployment
The Software is licensed, not sold. Subject to these Terms, we grant you a non-exclusive, non-transferable license to deploy and use Reva within your organization for internal release management purposes.
- The Software is deployed on-premise within your infrastructure.
- You are responsible for providing and maintaining the required hardware, network, and Docker runtime environment.
- The license covers use by employees and authorized contractors within your organization.
3. Permitted Use
You may use the Software to:
- Interact with Digital.ai Release and Jira Cloud through natural language via Microsoft Teams.
- Receive release notifications in Teams channels.
- Query and manage releases, tasks, and issues within your connected systems.
- Customize configuration files and system prompts for your organizational needs.
4. Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software beyond what is permitted by applicable law.
- Sublicense, resell, or distribute the Software to third parties.
- Remove or alter any proprietary notices or labels on the Software.
- Use the Software to monitor, track, or evaluate individual employee performance — this is prohibited by design and may violate applicable labor laws (see Section 7).
5. AI-Generated Content
Reva uses a local AI model for natural language processing. AI-generated responses are informational and should be verified against your authoritative systems of record.
The Software uses locally-deployed large language models (LLMs) to process natural language queries and generate responses. You acknowledge that:
- AI-generated content may contain inaccuracies and should not be treated as authoritative.
- The Software retrieves data from your connected systems (Release, Jira) — the accuracy of this data depends on those systems.
- No AI inference data is transmitted to external services. All processing occurs on your local hardware.
6. Data Responsibility
As an on-premise deployment:
- You are the data controller for all data processed by the Software.
- You are responsible for database backups, security patching, and access control.
- We do not access, store, or process your data at any time.
- Credential management (API tokens, passwords) is your responsibility.
7. Compliance Requirements
The Software is designed to comply with the EU General Data Protection Regulation (GDPR) and the German Works Constitution Act (BetrVG). You agree to:
- Not modify the Software's privacy guardrails to enable individual performance monitoring.
- Maintain the anonymization of activity reports.
- Consult your works council (Betriebsrat) if applicable before deployment, as required by BetrVG §87 Abs. 1 Nr. 6.
8. Support & Updates
Support and software updates are provided according to your service agreement. The Provider may release updates that address security vulnerabilities, add features, or improve compatibility. You are responsible for applying updates to your deployment.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Provider does not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software. This includes, without limitation, damages for loss of data, business interruption, or any action taken based on AI-generated content.
11. Termination
Either party may terminate this agreement with 30 days written notice. Upon termination:
- You must cease using the Software and remove it from your infrastructure.
- Your data remains in your control — we have no access to it.
- Provisions regarding limitation of liability survive termination.
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany. The exclusive venue for disputes arising from these Terms is Frankfurt am Main, Germany.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with reasonable notice. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
